OB Liabilities and Responsibilities

OB is an Online platform or Online marketplace with technological capabilities for Space partners and Space-seekers who are Seeking office spaces as Co-Working Spaces, Meeting & Training Rooms, Shared & Serviced offices, and Conventional Leasing along with other Services listed at https://www.officebing.com .

OB responsibilities are limited to Facilitating the availability of the Site and Services along with

Co-ordination of bookings/ closings,
Overseeing of documentation for bookings/ closings,
Deduction and deposit of relevant taxes and disbursement
Listing accurate, current & complete information of office space on site as provided by the space partner.
Not to make public the identity of the Space Partner unless approved.
To ensure timely renewal or cancellations or termination of bookings/ renting on behalf of the Space Partners.
Serving as the limited agent of each Space Partner for the purpose of accepting payments from Customers on behalf of the Space Partner.

OB cannot and does not control the content contained in any listings or the condition, legality or suitability of any Spaces and disclaims all liability related to any listings and Spaces. Any bookings made are at the customer’s own risk.

OB serves as the limited authorized agent of the Space Partner for the purpose of accepting payments from Customers and informing them of policies & terms & conditions on behalf of the Space Partner and is responsible for transmitting such payments to the Space Partner. We are not responsible for the correctness & legality of T & C and policies.

Space Partner Liabilities & Responsibility

Space Partner agrees to provide accurate, current and complete information and OB reserves the right to suspend or terminate Space Partner’s OB listings and access to the Site and Services if any information provided during the registration process or thereafter proves to be inaccurate, not current or incomplete.

Space Partner should have all rights to the Venue to participate in the Service as a Space Owner, and will not violate or result in the breach of any agreement between Space Partner and any third party, including any lease agreement, leave & License Agreement or other agreement relating to the Venue.

Space Partner understand and agree that once a Customer requests a booking of Venue, the price for such booking may not be altered.

Space partner to look after all repairs, replacements, insurance and improvements necessary to maintain the said property within reasonable time at its own cost.

Space partner to pay utility bills like water charges, municipal taxes, internet, electricity charges, maintenance charges etc, pay all government taxes as applicable (property tax, service tax, service charge etc)
Space Partner should allow displaying the Booking Partner’s branding within the said property if required.

Space Partner to give at least 3 days prior notice to be given to the booking partner for any maintenance or shut down. If the space is not made available without such notice, then the Space Partner shall be liable to reimburse the damages caused to the client/customer/booking partner due to such unavailability. Such damages shall be limited to the proportionate of booking amount.

Space Partner can provide additional services excluding free services in listing, on additional cost and on demand.

Space partner agrees to allot one desk for free trail at least on 2 days of prior notice

Space Partner understands and agrees that OB does not act as an insurer or as a contracting agent. OB recommends that Space Partner obtain appropriate insurance for their Spaces. Space Partner should be familiar with and understand any exclusions to, and any deductibles that may apply for, such insurance policy, including insurance policy which cover the actions or inactions of Customers (and the individuals the Customer invites to the Venue, if applicable) while at Space Partners Venue.

Space Partner is also responsible for determining applicable Taxes or obligations relating to applicable Taxes in Listings

Space Partner is responsible for determining the identity and suitability of customers who contact Space Partner via the Site and Services. OB is not responsible for any damage or harm resulting from interactions with these Members.

By registering with OB, Space Partner agree that any legal remedy or liability that Space Partner seek to obtain for actions or omissions of other Members or other third parties will be limited to a claim against the particular Members or other third parties who caused Space Partner harm and Space Partner agree not to attempt to impose liability on, or seek any legal remedy from OB.

Space Partner will not directly or indirectly, or on Space Partner’s own behalf or in the service or on behalf of others, in any capacity should not provide space services to any other space partner engaged through OB. Any attempt or intention of soliciting space partner and booking partner will incur heavy penalty.

When Space Partner cancels a confirmed booking, OB may apply penalties or consequences to Space Partner or to its Listing.

Any disputes Between Space partner and Customer should be tried to resolve in good faith. If no acceptable solution is drawn, then OB would resolve the differences which will be final and binding

Space Partner acknowledge and agree that, Neither OB nor any other party involved in producing the content of OB listing is responsible or liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress.
Space Partner should act appropriately, and communicate to concerned authorities and to OB for any misconduct in client behavior including

(I) Engages in offensive, violent or sexually inappropriate behavior, or
(II) engages in any other disturbing conduct and so on

Charges, Commissions and Taxes

The fees displayed in each Listing are comprised of the Space Fees only with mentioned services as committed and any other charges where applicable, Taxes may be charged in addition

OB to charge 10% service fee on total contract value for Long term bookings ( Monthly/ Yearly) and 15% service fee on short term bookings (Hourly / Per Day) from Space Partners for all bookings of Spaces from an OB Lead. OB will also retain one month security deposit from customer. During the subsistence of this agreement OB at its discretion may modify the above service fee by offering value added services/additional services or withholding the existing services for subsisting period of the agreement or a part thereof.

OB to collect the fees from customer and will deduct its service fee and remit the balance into space partner account OR OB will raise invoice monthly or bi-monthly (as per client’s occupancy of property). The space partner is liable to clear the invoice within 7 days of the invoice date. EXCEPT AS OTHERWISE PROVIDED HEREIN, THE OB Service fee IS NON-REFUNDABLE. OB RESERVES THE RIGHT TO CHANGE THE OB service fee FROM TIME TO TIME.

Space Partner agrees to pay all applicable taxes or charges imposed by state/ central government in connection with OB supply or Service. OB may withhold payments until Space Partner regularized the defaulted payment on account of taxes and/ or charges without limiting to penalty and other dues if any.

In case of client renewing the contract with the space partner, either in same premises or any other space partner affiliated premises, OB shall continue to receive commission for the same.
